Terms of Service

These terms are an agreement between EmberCrest LLC, doing business as ScubaShop ("ScubaShop", "we", "us"), and the business that creates a shop on scubashop.io ("you", "your shop"). By creating a shop or using the service you agree to them.
1. The service
ScubaShop is business software for dive shops: point of sale, bookings, rentals, courses, trips, air fills, maintenance, staffing and related tools, provided as a subscription over the internet. We host and operate it; you and your staff use it through your shop's own address (yourshop.scubashop.io or a custom domain).
2. Your account and your staff
You are responsible for the accounts you and your staff create, for keeping credentials safe, and for what is done under them. Roles inside the app control what each staff member can see and do; assigning them is your responsibility. You must provide accurate business information and keep it current.
3. Subscriptions and billing
The service is billed as a subscription, monthly or annually, plus any optional add-ons such as storage packs. Prices are listed on the pricing page; taxes may be added where required. Card processing fees for payments you take from your own customers are charged by the payment processor and are separate from your subscription. If a subscription payment fails and is not resolved, access to your shop may be suspended until payment is made. Details, including cancellation and refunds, are in Billing & Refunds.
4. Payments you take from your customers
Card payments at your register and in the customer portal run through Stripe on your shop's own Stripe account, under Stripe's own terms. Funds settle to you, not to us; a platform fee is applied per transaction. You are the merchant of record for your sales, responsible for your prices, taxes, receipts and refunds to your customers.
5. Your data
Your shop's data (customers, sales, bookings, records, files) belongs to you. You grant us the rights needed to host, process, back up and display it in order to run the service, and nothing more. We handle personal data as described in the Privacy Policy; where we process your customers' personal data we do so on your behalf and on your instructions. You are responsible for having the right to put the data you enter into the system, including consent for photos and records of minors enrolled in your courses.
6. Your responsibilities as a dive business
ScubaShop records and organizes information: it does not make safety or regulatory decisions. Tank inspection tracking, maintenance schedules, certification records, waivers and similar features are tools to support your own procedures, not a substitute for them. You remain solely responsible for compliance with diving industry standards, training agency requirements, and the laws and regulations that apply to your business, and for the safety judgments you make.
7. Acceptable use
Use of the service must follow the Acceptable Use Policy. We may suspend or terminate shops that violate it.
8. Availability and changes
We work to keep the service available and fast, and we back your data up continuously, but the service is provided without a guaranteed uptime level. We may improve or change features over time; if a change materially reduces the service you pay for, you can cancel and we will treat you fairly on the way out.
9. Intellectual property
We own the ScubaShop software, design and branding. You may not copy, resell, or offer the service to third parties as your own. Feedback you send us may be used to improve the product without obligation to you.
10. Termination
You can cancel at any time. We may terminate or suspend a shop for material breach of these terms, non-payment, or use that harms the service or other shops, with notice where practical. After cancellation your data is retained for 90 days for export, then deleted, as described in Billing & Refunds.
11. Disclaimers
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability under these terms is limited to the subscription fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
13. Indemnification
You will defend and indemnify us against claims arising from your shop's business operations, the data you enter, your sales to your customers, or your breach of these terms.
14. Governing law
These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Texas. Both parties consent to that venue.
15. Changes to these terms
We may update these terms from time to time. For material changes we will give notice inside the app or by email before they take effect. Continuing to use the service after the effective date means you accept the updated terms.
